These Business Terms & Conditions ("Terms") constitute a legally binding agreement between you ("Business," "you," or "your") and Check Review ("we," "us," or "our"). These Terms govern your access to and use of our business-related features, tools, services, and platform, including but not limited to business listings, profile management, advertising, and premium services. By registering, accessing, or using our platform, you agree to be bound by these Terms in their entirety. If you do not agree, you must refrain from using our services.

To utilize our services, you must meet the following eligibility criteria:
- You must be at least 18 years of age and legally authorized to act on behalf of the business entity.
- During registration, you are required to provide accurate and complete business details, including but not limited to business name, email address, website URL, physical address, and business category/type.
- Any account found to contain misleading, incomplete, or false information may be subject to immediate suspension or termination without prior notice.
- You are solely responsible for maintaining the confidentiality of your login credentials and for updating your account information as needed to ensure accuracy.
- Businesses operating in regulated industries (e.g., healthcare, financial services) must comply with applicable laws and provide additional documentation upon request to verify compliance.
- Failure to comply with registration requirements may result in restricted access to certain features or services.

- All business listings must accurately represent the business and its offerings. Listings containing false claims, defamatory content, attacks on competitors, or unauthorized use of intellectual property (e.g., trademarks, copyrighted material) are strictly prohibited.
- You may upload business-related content such as logos, images, descriptions, and website links, provided you have the legal right to use such content.
- By submitting content, you grant Check Review a non-exclusive, royalty-free, worldwide, perpetual license to use, display, reproduce, and distribute the content for purposes related to your business listing, platform promotion, and related marketing activities.
- You may request updates, corrections, or enhancements to your business profile at any time. All requests are subject to verification to ensure accuracy and compliance with our policies.
- We reserve the right to remove or edit content that violates these Terms or our community guidelines without prior notice.
- Businesses are encouraged to regularly review and update their profiles to reflect current information, such as operating hours, contact details, and service offerings.

- If your business is already listed on our platform, the rightful owner or an authorized manager may submit a claim to gain control of the listing.
- To verify ownership, you may be required to submit documentation such as utility bills, business licenses, tax registration certificates, or proof of domain ownership.
- We reserve the right to reject claim requests that cannot be verified or are subject to disputes, at our sole discretion.
- Upon successful verification, you will gain access to manage the business profile, respond to reviews, and utilize premium features (if applicable).
- Businesses with multiple locations must claim each location separately, and each claim will require independent verification.
- If a claim is disputed by another party, we may temporarily suspend access to the listing until the dispute is resolved.

- Our platform allows users to post reviews, ratings, and feedback based on their genuine experiences with your business.
- Businesses are permitted to respond to reviews publicly. All responses must be professional, respectful, and free of offensive or defamatory language.
- Engaging in review manipulation, such as posting fake reviews, offering incentives for positive feedback, or threatening reviewers, is strictly prohibited and may result in account suspension or termination.
- Reviews that violate our guidelines (e.g., containing hate speech, spam, or irrelevant content) may be removed at our discretion. Businesses may flag reviews for review, but we do not remove reviews solely at a business’s request unless they clearly violate our policies.
- We encourage businesses to engage constructively with reviewers to address concerns and improve customer satisfaction.
- Check Review does not mediate disputes between businesses and reviewers but may provide tools to facilitate communication.

- Businesses may opt to purchase premium services, including sponsored listings, banner ads, or enhanced profile visibility, to increase exposure on our platform.
- All payments for premium services must be made in advance. Payments are non-refundable unless explicitly stated in a separate written agreement.
- Purchasing advertising or premium services does not guarantee specific outcomes, such as increased customer engagement, improved review ratings, or higher search rankings.
- Advertisements must comply with our advertising guidelines, which prohibit misleading claims, offensive content, or unauthorized use of third-party intellectual property.
- Violations of advertising guidelines may result in the suspension of advertising privileges or the removal of non-compliant content.
- We may offer promotional packages or discounts at our discretion, subject to availability and specific terms provided at the time of purchase.

- You retain ownership of all content you provide to Check Review, including but not limited to logos, images, text, and links.
- By uploading content, you grant Check Review a non-exclusive, royalty-free, worldwide, perpetual license to use, display, reproduce, modify, and distribute the content in connection with your business listing, platform operations, and promotional activities.
- You are solely responsible for ensuring that all uploaded content does not infringe on third-party copyrights, trademarks, or other intellectual property rights.
- If we receive a valid complaint regarding intellectual property infringement, we may remove the disputed content and notify you for resolution.
- Check Review retains ownership of the platform’s design, code, and proprietary content, which may not be reproduced or used without our written consent.

- You agree not to engage in any of the following prohibited activities:
  - Spam, including unsolicited promotional messages or repetitive content.
  - Deceptive practices, such as false advertising or misrepresentation of services.
  - Review manipulation, including fake reviews or incentivized feedback.
  - Offering or promoting illegal goods, services, or activities.
  - Abusive conduct, including harassment of users or platform staff.
  - Unauthorized automated or scripted access to our platform, including scraping or bot activity.
  - Any actions that compromise the security, integrity, or functionality of the platform or its users’ data.
- Violations of these prohibitions may result in immediate account suspension or termination, and we may report illegal activities to the appropriate authorities.

- We reserve the right to suspend or terminate your account without prior notice for violations of these Terms, suspected fraudulent activity, or misuse of the platform.
- Terminated businesses are prohibited from creating new accounts or re-listing without our explicit written consent.
- Upon termination, you will lose access to your business profile, premium services, and any associated data. We are not obligated to refund any payments made for premium services if termination results from a breach of these Terms.
- You may request account deletion by contacting us, subject to verification of your identity and authority.
- We may retain certain data as required by law or for legitimate business purposes, even after account termination.

- Check Review operates as a neutral platform for business listings and user reviews. We do not endorse, verify, or guarantee the accuracy of user-generated content or business information.
- We make no representations or warranties regarding the success, sales, or outcomes resulting from your use of our platform or premium services.
- While we strive to maintain platform availability, we are not liable for interruptions, downtime, or data loss caused by maintenance, technical failures, or unforeseen circumstances.
- You acknowledge that user reviews and ratings are subjective and may not reflect the true quality or performance of your business.
- We are not responsible for resolving disputes between businesses and their customers but may provide tools to facilitate communication.

- To the fullest extent permitted by law, Check Review shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including but not limited to loss of profits, data, or business opportunities.
- Our maximum aggregate liability, if any, is limited to the total amount paid by you for premium services in the twelve (12) months preceding the claim.
- You agree to indemnify and hold Check Review, its affiliates, and employees harmless from any claims, damages, or liabilities arising from your breach of these Terms or misuse of the platform.

- We reserve the right to modify or update these Terms at any time, at our sole discretion. Changes will be effective immediately upon posting to our website.
- Continued use of our platform or services after changes are posted constitutes your acceptance of the updated Terms.
- Businesses are strongly encouraged to periodically review these Terms to stay informed of any updates or changes.
- We may, but are not obligated to, notify you of significant changes via email or through the platform.

- These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
- Any disputes arising from or related to these Terms or your use of the platform shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware.
- You agree to submit to the personal jurisdiction of these courts for the purpose of resolving any such disputes.
- In the event of a dispute, you agree to first attempt to resolve the matter informally by contacting us at [email protected]. If the dispute cannot be resolved informally within thirty (30) days, either party may pursue legal action.

- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- Entire Agreement: These Terms, together with any additional policies referenced herein, constitute the entire agreement between you and Check Review regarding your use of the platform.
- Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations at our discretion.
- Force Majeure: We shall not be liable for any failure to perform our obligations due to events beyond our reasonable control, including but not limited to natural disasters, cyber-attacks, or governmental actions.
- No Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other right.
